Kartesia becomes core financial partner to Nomotech

Kartesia, the European specialist in debt and intermediate capital solutions for small and mid-sized companies is pleased to announce that it has provided a structure with a mix of equity and debt instruments to Groupe Nomotech (the “Group” or “Nomotech”) to support the acquisition of VOIP Telecom from its founder, Groupe Chevrillon and Idi. As part of this operation, Kartesia has become an anchor investor of the Nomotech Group alongside its Management team as well as VOIP Telecom Founder, William Binet, who have significantly reinvested into the transaction. As a minority shareholder, Kartesia aims to actively support the Management team in accelerating the Group’s growth journey in particular through (i) an ambitious buy-and-build strategy, which has already been initiated since 2021; and (ii) the expansion of the Group’s services offering across telecom & IT services to better serve its B2B customers in France.

Founded in 2003 and headquartered in Normandy (France), Nomotech is a telecom and cloud services business. Nomotech is historically known for its disruptive positioning in high-speed radio infrastructure networks and for being a key provider of high-speed internet solutions in rural areas for SMEs, mid-sized corporates and public companies/administrations. The Group has since diversified towards B2B telecom operator services with a tipping point in June 2022 through the acquisition of Kertel, an independent BtoB telecom operator (phone, mobile and internet access).

Founded in 2012 by William Binet, VOIP Telecom has posted strong revenue expansion with 8 acquisitions over the last 7 years, coupled with the launch of its own indirect platform Voice Manager, which relies on a network of ca. 400 resellers. Today, VOIP Telecom is a leading alternative B2B telecom operator in France, supporting over 10,000 customers (SMEs, mid-sized companies, local authorities and administrations) in their digital transformation. The company specialises in connectivity and network technologies, unified communications and collaborative working, cybersecurity and Cloud hosting.

The merger of Nomotech and VOIP will be value and business accretive by enabling the Group to (i) extend its geographical coverage; (ii) broaden its services offering to better serve its VSE and SME customers; and (iii) generate significant commercial synergies based on the strong business complementarities between the two companies including, expertise, infrastructure, etc.. The new entity will have combined sales exceeding €100m, making it one of the top 10 Bt2B telecom operators in France.

Kartesia has put in place a tailor-made full-cap financing solution to support the Group in delivering its strong growth ambitions through its investment strategy “Kartesia Credit Opportunities” (KCO V and KCO VI). The team working on this transaction includes Damien Scaillierez, Charles-Henri Clappier, Alexis Midol and Marie Mayau.
